1. Acceptance of Terms

Welcome to Pizzaiolo. These Terms and Conditions ("Terms") govern your access to and use of the Pizzaiolo website (www.pizzaiolo.ca), mobile applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Pizzaiolo Ltd., registered in the UK with company number 29816858 ("Pizzaiolo", "we", "us", or "our").

2. Use of Services

2.1 Eligibility

You must be at least 13 years of age to use our Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services and that they have read and agree to these Terms on your behalf.

2.2 Account Registration

Some features of our Services require registration. When you register, you agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3 Prohibited Conduct

You agree not to:

  • Use our Services for any illegal purpose or in violation of any local, state, national, or international law
  • Violate or encourage others to violate the rights of third parties, including intellectual property rights
  • Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate
  • Interfere with security-related features of the Services
  • Interfere with the operation of the Services or any user's enjoyment of the Services
  • Use any robot, spider, scraper, or other automated means to access the Services
  • Decompile, reverse engineer, or otherwise attempt to obtain the source code or underlying ideas or information of or relating to the Services
  • Impersonate or misrepresent your affiliation with any person or entity
  • Engage in any fraudulent activity or activity that facilitates fraud

3. Orders and Payments

3.1 Ordering

By placing an order through our Services, you are making an offer to purchase the products you have selected. We reserve the right to accept or reject your order for any reason, including but not limited to product availability, errors in product or pricing information, or problems identified by our payment verification department.

3.2 Prices and Payment

All prices are shown in Canadian dollars and include applicable taxes. We accept various payment methods as indicated on our Services. By providing a payment method, you represent that you are authorized to use the payment method and authorize us to charge your payment method for any orders you place.

3.3 Promotional Codes

We may offer promotional codes that must be applied at the time of order. Promotional codes cannot be combined, are not transferable, and are not redeemable for cash. We reserve the right to modify or cancel promotions at any time.

3.4 Order Accuracy

It is your responsibility to verify the accuracy of your order, including delivery address and product selection, before placing it. While we make every effort to ensure the accuracy of our Services, we do not guarantee that product descriptions, pricing, or other content is accurate, complete, reliable, current, or error-free.

4. Delivery

4.1 Delivery Areas

Delivery is available in select areas around our restaurant locations. Delivery areas are subject to change without notice.

4.2 Delivery Times

Estimated delivery times are provided at checkout but are not guaranteed. Various factors, including weather conditions, traffic, and high order volumes, may affect delivery times.

4.3 Delivery Issues

If there is an issue with your delivery, such as a late, incorrect, or missing order, please contact the restaurant location that processed your order or our customer service department. Contact information is available on our website.

5. User Content

Our Services may allow you to post, submit, or otherwise communicate content such as reviews, photos, comments, and feedback ("User Content"). By providing User Content, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide, transferable, sub-licensable license to use, copy, modify, create derivative works based on, distribute, publicly display, and publicly perform your User Content in connection with operating and providing our Services.

You are solely responsible for your User Content and represent and warrant that:

  • You own or have the necessary rights to submit your User Content and to grant the rights described above
  • Your User Content does not violate the privacy rights, publicity rights, copyright rights, or other rights of any person
  • Your User Content complies with these Terms and all applicable laws

We reserve the right to remove any User Content for any reason without notice.

6. Intellectual Property

6.1 Our Intellectual Property

Our Services and their contents, features, and functionality, including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, and software, are owned by Pizzaiolo, our licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes. This license does not include any resale or commercial use of our Services or their contents; any collection and use of any product listings, descriptions, or prices; any derivative use of our Services or their contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIZZAIOLO, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
  • ANY CONTENT OBTAINED FROM THE SERVICES
  • UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO PIZZAIOLO, IF ANY, FOR ACCESS TO OR USE OF THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

8. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PIZZAIOLO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PIZZAIOLO MAKES NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

9. Indemnification

You agree to defend, indemnify, and hold harmless Pizzaiolo, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

10. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of Canada or the courts of the Province of Ontario. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through a notice on our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Pizzaiolo on the Services, shall constitute the entire agreement between you and Pizzaiolo concerning the Services.

13.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Pizzaiolo's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
